Sales Commission Agreement

This sales commission agreement is entered into by and between Mama Mia’s Soko member with merchant account, “Vendor”, and Mama Mia’s Soko member with a consumer account , “Consumer”. The purpose of this agreement is to document the sales commission structure which will govern compensation for goods or services sold by the Consumer on behalf of the Vendor.

This agreement is between the Vendor and the Consumer, both are members of Mama Mia’s Soko whereby Consumer promotes goods and services of the Vendor; whereas Vendor predefines the sales commission percentage before the sale is made

Authorization

This sales commission agreement serves as authorization for the Consumer to sell goods or services on behalf of the Vendor. These rights are non-transferrable and non-exclusive.

The Vendor reserves the right to restrict the Consumer’s rights through various restrictions, including geographic restrictions.

The Representative agrees to sell goods and services under the Vendor’s brand. Goods or services may not be rebranded for any reason.

The Representative agrees to abide by the Vendor’s pricing policies. The Representative shall not offer discounts without the Vendor’s approval.

Documentation

The Consumer agrees to use Mama Mia’s Soko and Vendor-provided and approved documentation and tools for recording, submitting, and tracking sales and opportunities. This includes the use of company order forms, CRM, and other systems as necessary.

Compete

The Consumer shall offer or represent brands which compete with the Vendor while acting as a representative of the Vendor. 

Non-Disclosure

The Consumer shall act in the best interests of the Vendor in regards to confidential information and intellectual property at all times. This includes refraining from disclosing any information deemed proprietary, sensitive, or confidential to any third party.

Commission Structure

The Vendor agrees to compensate the Consumer for sales of the Vendor’s goods or services as per the prevailing Sales Commission Compensation Structure implemented by Mama Mia’s Soko for all Consumer members. 

The Vendor shall be responsible for issuance of receipt of sales of goods or services with the 100% amount of the price paid for. 

The Vendor shall be responsible to declare the amount of sales commission given out due to the sales made through Mama Mia’s Soko platform to any authority as required by their country.

The Consumer member shall receive the calculated commission weekly and monthly as Consumer’s personal income as for each account of members in the Mama Mia’s Soko Platform 

The Consumer shall be responsible to declare their own personal income to their Tax Regulatory Authority or any other Authority as required by their own country  

Taxes, Duties and Fees

The Vendor shall solely be responsible for determining, collecting, withholding, reporting, and remitting all applicable taxes, duties, fees and additional charges for sales relating to transactions.

Acceptance

By registering as a member of Mama Mia’s Soko as Consumer and/or Vendor, the Vendor and Consumer agree to enter into this sales commission agreement with one another, and agree to the terms described herein.
